Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services, software, and websites provided by Thavorath Systems Private Limited (“Thavorath”, “we”, “us”, or “our”), including any custom internal tools, dashboards, workflow automation, and related professional services (collectively, the “Services”).

1. Acceptance of Terms

By accessing our Services, signing a statement of work, or making a payment, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Services

Thavorath provides custom software development and workflow automation services primarily for small and medium businesses. Scope, deliverables, timelines, and fees are defined in separate proposals or statements of work (“SOW”). These Terms supplement any SOW.

3. Payment Terms

Unless otherwise agreed in writing:

• 50% advance payment is required to commence work.
• Remaining balance is due upon delivery and acceptance or as per milestone schedule.
• All payments are processed via authorized Indian payment gateways (Razorpay, etc.).
• You are responsible for any applicable taxes, including GST.

4. Intellectual Property

Upon full payment, you receive a non-exclusive, non-transferable license to use the delivered software for your internal business purposes. Thavorath retains all rights to underlying frameworks, libraries, and reusable components developed during the engagement.

5. Confidentiality

Both parties agree to keep confidential all non-public information exchanged during the engagement. This obligation survives termination for three (3) years.

6. Warranties & Limitation of Liability

Services are provided “as is” with reasonable professional care. We do not warrant uninterrupted or error-free operation. Our total liability under any claim shall not exceed the fees paid by you in the preceding twelve (12) months.

7. Termination

Either party may terminate a project for material breach with 15 days written notice if the breach is not cured. Upon termination you remain obligated to pay for work performed to date.

8. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Kannur, Kerala.

9. Changes

We may update these Terms from time to time. Continued use after changes constitutes acceptance. Material changes will be notified via email or on this page.
